GENERAL TERMS AND CONDITIONS OF SALE

  1. SCOPE AND EXECUTION OF THIS AGREEMENT

1.1 These general terms and conditions of sale (hereinafter, the “Conditions of Sale”) govern all the sales and execution of any service by DHORA srl impresa sociale, with registered office in VAT no. 09860720011, (hereinafter, the “Seller”) through the Internet website “https://damanhur.travel” (hereinafter, the “Online Shop”).

1.2 The relationship governed by this Conditions of Sale will be subject to the provisions set forth by the Legislative Decree no. 70/03 (so called “Decree on the Information Society and the Electronic Commerce”), the Legislative Decree no. 196/03 (“Privacy Code”) and the EU Regulation no. 2016/679 (“General Data Protection Regulation” or “GDPR”), the Directive 1999/44/EC and the Legislative Decree 206/05 (“Consumer Protection Law”), to the extent the contracting party (the “Customer”) is a consumer according to the Consumer Protection Law.

1.3 The agreement executed with the Seller through the Online Shop (the “Contract”) is a distance contract. The display of the services on the Online Shop is an invitation to offer. Each order sent through the Online Shop will be a contractual offer to the Seller for the purchase of the services detailed therein and it is subject to Seller’s approval according to clause 3 below. The Contract shall be considered as executed upon the receipt, by the Customer, of the declaration of acceptance of the order or, in any case, the execution of the ordered services.

  1. ACCEPTANCE OF THESE CONDITIONS OF SALE

2.1 These Conditions of Sale shall be read carefully by the Customer before placing an order with the Seller for the purchase of any service displayed on the Online Shop (the “Services”) and shall be explicitly agreed before sending the order through the procedure provided by the Online Shop.

  1. CHOICE OF SERVICES, PLACING OF ORDERS, PRICE AND FINALIZATION OF THE AGREEMENT

3.1 The Online Shop displays the Services which are available for purchase together with the relevant price (including legally applicable VAT) and information on the relevant expected initial date (the “Expected Date”), on the contents of the Services, etc.

3.2 The Online Shop provides for a specific procedure for placing purchase orders. In no cases the Seller will accept orders submitted in any manner other than the full and correct completion of the procedure made available on the Online Shop. Those fields whose completion is mandatory are highlighted during the ordering procedure.

3.3 Those Services which have been selected by the Customer for purchase in the Online Shop will be temporarily stored in a personal shopping basket for the time of the Customer’s visit of the Online Shop. Such temporary storage is not a booking: the Seller does not ensure that the Services stored in the personal shopping basket will be available at the ordering.

3.4 The Customer may verify the content of the personal shopping basket and the relevant details at any time during the visit of the Online Shop. In order to send an order to the Seller, the Customer shall:

(i) verify the content of its personal shopping basket;
(ii) express his/her intention to purchase by clicking the proper buttons on the personal shopping basket page;
(iii) complete the provided order form;
(iv) specify a means of payment among those available;
(v) expressly accept this Conditions of Sales;
(vi) read the information on the processing of personal data Article 13 of the GDPR 2016/679;
(vii) submit his/her purchase offer by clicking the proper “ORDER AND PAY” or “ENROLL”.

3.5 The submitted order is a contractual offer subject to Seller’s confirmation and implies the obligation of the Customer to purchase the Services specified therein according to the terms and conditions detailed in the order itself and those set forth by these Conditions of Sale.

3.6 Applicable prices are those displayed in connection with the ordered Services on the Online Shop upon the submission of the order. All prices are in Euros and include legally applicable VAT.

3.7 Once the order is submitted, the Customer will be requested to provide all the information being necessary to finalize the payment through the means selected by the Customer. Once completed the payment, the Customer will receive a message confirming the receipt of his/her order and containing all the details of the contract, including Seller’s details (including contact details), the selected Services, the relevant quantities, the unit and overall prices, the information on the right of withdrawal, where applicable (the “Order Confirmation”). Order Confirmation is a simple acknowledgement of the receipt of Customer’s order and not acceptance of the same.

3.8 Customer’s order are processed during normal business hours (i.e. from 9AM to 4PM) and on Italian working days; those orders which are submitted in different times will be processed on the subsequent working day.

3.9 The Customer is entitled, without prejudice to the right of withdrawal, where applicable, to cancel his/her order at any time before receiving the Order Acceptance (as defined under clause 3.10 below).

3.10 The Contract is actually concluded and becomes effective between the parties upon the receipt by the Customer of a communication from the Seller confirming the acceptation of the order and the availability of the Services (the “Order Acceptance”); otherwise, the Contract shall be deemed executed upon the execution of the ordered Services.

3.11 Seller has the faculty not to accept Customer’s order as well as to accept an order only partially. Order Acceptance details the Services for which the order has been accepted. Customer’s order will be deemed to be not accepted if no Order Acceptance incur within 14 days as of the receipt of Customer’s order.

  1. AVAILABILITY AND CANCELLATION

4.1 As soon as the Customer’s order is processed, the Seller informs the Customer if any of the ordered Services turn out to be unavailable. In such a case, the order will not be accepted with respect to those Services being unavailable.

4.2 The Seller has the final right to cancel the Services with a prior notice of 15 days before the Expected Date.

4.3 In case, notwithstanding the Customer has receipt of the Order Acceptance, one or more Services included in an accepted order turned out to be unavailable or cancelled by the Seller, the Seller will inform the Customer accordingly and will propose, alternatively, to modify or cancel the accepted order. In case of cancellation, the Seller shall, at the customer’s choice, confer to the Customer a credit corresponding to the sum paid to the Seller, that can be used for the purchase of a different Service, or refund the Customer for the price of the purchased Service that has been canceled.

4.4 In no case will any costs incurred by the Customer for the purchase of air tickets or for other means of transport or for the booking of hotels and other accommodation and/or accommodation facilities, as well as any other additional expenses incurred by Customer be refund by the Seller.

4.5 The Seller, despite the provisions of Article 6, grants the Customer the right to cancel the reservation under the following conditions:

(i) in any case of cancellation by the Customer, the Seller will retain a sum of € 30, equal to the administrative and management costs of the Customer’s file (hereinafter: the non-refundable fee);
(ii) if the Customer cancels the reservation within 15 days from the date scheduled for the purchased Service / program, the Customer will be entitled to receive a full refund of the amount paid, except for the non-refundable Fee;
(iii) if the Customer cancels the reservation between 14 and 6 days from the date scheduled for the purchased Service / program, the Customer will be entitled to receive a refund equal to 70% of the amount paid, less the non-refundable Fee;
(iv) if the Customer cancels the reservation within 5 days from the date scheduled for the purchased Service / program or after the program start date, the Customer will not be entitled to receive any refund.

  1. TERMS OF PAYMENT

5.1 The payment of the purchase price shall be paid by credit card or by wire transfer. The Seller accepts only the credit cards listed on the website.

5.2 Invoices, where applicable, will be sent only electronically (in pdf format) according to the details provided by the Customer.

5.3 In case the Customer wants to receive the invoice, the Customer shall select the relevant option before placing the Order.

  1. EXCLUSION OF THE RIGHT OF WITHDRAWAL

6.1 Please note that according to the Consumer Protection Law, in case of distance contracts, the right of withdrawal of consumers does not apply to contracts having as object services such as accommodation, transport, catering or leisure services, where the supplier undertakes, when the contract is concluded, to provide these services on a certain date or by a specific date thereafter.

As a consequence, the right of withdrawal does not apply to the Services commercialized on the Online Shop, since they consist of courses, webinars, visits and schools which are provided on a certain date.

  1. LIABILITY – FORCE MAJEUR

7.1 The Customer, in giving his consent to the conclusion of the contract, declares to have well understood the content of the visits, courses, webinars, visits and schools. The Seller declines any and all liability where the contents of the courses, webinars, schools or visits do not meet the expectations of the Customer.

7.2 The Seller and or its employees and independent contractors do not practice a health care profession, therefore no Service constitutes in any form a diagnosis or a therapy, conventional or unconventional.

7.3 The Seller will not be liable for the failure of the Services or its cancellation due to an unpredictable event independent of its will, such as natural calamities, riots, national strikes, fires, etc. In this case, The Seller will try to adopt solutions that make it possible to avoid, or at least limit, the consequences of force majeure.

7.4 Seller shall not be liable for the non-occurrence of Services or their cancellation due to an unforeseeable event beyond its control, such as natural disasters, riots, national strikes, fire, etc.. In this case, the Seller will try to take measures to avoid, or at least limit, the consequences of force majeure

7.5 Cases of force majeure also include, by way of example and not limited to, regulations or injunctions of competent Authorities and/or Bodies, including, if applicable, containment measures adopted and adopted by the competent Authorities in order to cope with the COVID-19 health emergency, and other events in any case beyond the control of the Parties.

  1. JURISDICTION

These Conditions of Sale are governed by and construed in accordance with the laws of Italy. It remains understood and agreed that any and all claim howsoever connected with the scope of these Conditions of Sale shall be submitted to the non-exclusive jurisdiction of the Courts of Ivrea (TO), which means that the Customer may bring a claim to enforce his/her consumer protection rights in connection with these Conditions of Use either in Ivrea or in the place where the Customer is domiciled.

In addition, it is worth informing that the European Commission provides an out-of court alternative dispute resolution platform which is accessible at the website http://ec.europa.eu/odr.

CONDIZIONI GENERALI DI VENDITA

  1. CAMPO DI APPLICAZIONE DEL PRESENTE CONTRATTO

1.1 Le presenti condizioni generali di vendita (di seguito, le “Condizioni di vendita”) regolano tutte le vendite e l’esecuzione di qualsiasi Servizio da parte di DHORA srl impresa sociale, numero di iscrizione nel Registro delle Imprese e partita IVA n. 09860720011, (di seguito, il “Venditore”) attraverso il sito Internet “https://damanhur.travel” (di seguito, il “Negozio online”).

1.2 Il rapporto disciplinato dalle presenti Condizioni di Vendita sarà soggetto alle disposizioni previste dal Decreto Legislativo n. 70/03 (cd “Decreto sulla società dell’informazione e il commercio elettronico”), il decreto legislativo n. 196/03 (“Codice della Privacy”) novellato dal decreto legislativo n. 101/18, dal Regolamento UE n. 2016/679 (“Regolamento generale sulla protezione dei dati” o “GDPR”), la Direttiva 1999/44 / CE e il Decreto legislativo 206/05 (“Legge sulla tutela dei consumatori”), nella misura in cui la parte contraente (il “Cliente”) è un consumatore secondo la legge sulla tutela dei consumatori.

1.3 Il contratto stipulato con il Venditore attraverso il Negozio Online (il “Contratto”) è un contratto a distanza. La visualizzazione dei servizi nel Negozio Online è un invito ad offrire. Ogni ordine inviato tramite il Negozio Online sarà un’offerta contrattuale al Venditore per l’acquisto dei Servizi in esso descritti ed è soggetta all’approvazione del Venditore in base alla clausola 3 che segue. Il Contratto si considera eseguito al momento della ricezione, da parte del Cliente, della dichiarazione di accettazione dell’ordine o, in ogni caso, dell’esecuzione dei servizi ordinati.

  1. ACCETTAZIONE DELLE CONDIZIONI DI VENDITA

2.1 Le presenti Condizioni di Vendita devono essere lette attentamente dal Cliente prima di effettuare un ordine presso il Venditore per l’acquisto di qualsiasi Servizio visualizzato sul Negozio Online (i “Servizi”) e devono essere esplicitamente accettate prima di inviare l’ordine attraverso la procedura fornita dal Negozio Online.

  1. SCELTA DEI SERVIZI, COLLOCAZIONE DEGLI ORDINI, PREZZO E CONCLUSIONE DEL CONTRATTO

3.1 Il Negozio Online espone i Servizi che sono disponibili per l’acquisto unitamente al relativo al prezzo (IVA inclusa) e le informazioni sulla relativa data di inizio prevista (la “Data prevista”), sul contenuto dei Servizi, ecc.

3.2 Il Negozio Online prevede una procedura specifica per l’immissione degli ordini di acquisto. In nessun caso il Venditore accetterà ordini inoltrati in modo diverso dal pieno e corretto completamento della procedura messa a disposizione sul Negozio Online. I campi il cui completamento è obbligatorio sono evidenziati durante la procedura di ordinazione.

3.3 I Servizi che sono stati selezionati dal Cliente per l’acquisto nel Negozio Online saranno temporaneamente memorizzati in un carrello personale per il tempo della visita del Negozio Online da parte del Cliente. Tale deposito temporaneo non è una prenotazione: il Venditore non garantisce che i Servizi memorizzati nel carrello personale saranno disponibili al momento dell’ordine.

3.4 Il Cliente può verificare il contenuto del carrello personale e i relativi dettagli in qualsiasi momento durante la visita del Negozio Online. Al fine di inviare un ordine al Venditore, il Cliente dovrà:

(i) verificare il contenuto del proprio carrello personale;
(ii) esprimere la propria intenzione di acquistare facendo clic sui pulsanti appropriati nella pagina del carrello personale;
(iii) completare il modulo d’ordine fornito e dichiarare se desidera ricevere la fattura fiscale;
(iv) specificare un mezzo di pagamento tra quelli disponibili;
(v) accettare espressamente le presenti Condizioni di vendita;
(vi) dichiarare di aver letto e compreso l’informativa sul trattamento dei dati personali art.13 GDPR 2016/679;
(vii) inviare la sua offerta d’acquisto cliccando sul pulsante “CONFERMA L’ACQUISTO”.

3.5 L’ordine presentato è un’offerta contrattuale soggetta alla conferma del Venditore e implica l’obbligo del Cliente di acquistare i Servizi ivi specificati secondo i termini e le condizioni specificati nell’ordine stesso e quelli stabiliti dalle presenti Condizioni di vendita.

3.6 I prezzi applicabili sono quelli visualizzati in connessione con i Servizi ordinati sul Negozio Online dopo la presentazione dell’ordine. Tutti i prezzi sono in Euro e includono l’IVA legalmente applicabile.

3.7 Una volta inviato l’ordine, al Cliente verrà richiesto di fornire tutte le informazioni necessarie per finalizzare il pagamento attraverso i mezzi selezionati dal Cliente. Una volta completato il pagamento, il Cliente riceverà un messaggio di conferma del ricevimento dell’ordine e contenente tutti i dettagli del contratto, compresi i dettagli del Venditore (inclusi i dettagli di contatto), i Servizi selezionati, le quantità rilevanti, l’unità e i prezzi complessivi, l’informativa sul diritto di recesso, ove applicabile (la “Conferma d’ordine”). La conferma dell’ordine è un semplice riconoscimento della ricezione dell’ordine del cliente e non dell’accettazione dello stesso.

3.8 L’ordine del Cliente viene elaborato durante il normale orario lavorativo (dalle 9:00 alle 16:00) e nei giorni lavorativi italiani; gli ordini inoltrati in tempi diversi verranno elaborati il ​​giorno lavorativo successivo.

3.9 Il Cliente ha diritto, fatto salvo il diritto di recesso, ove applicabile, a cancellare il suo ordine in qualsiasi momento prima di ricevere l’Accettazione dell’ordine (come definito al punto 3.10 di seguito).

3.10 Il Contratto viene effettivamente stipulato e diventa effettivo tra le parti al ricevimento da parte del Cliente di una comunicazione da parte del Venditore che confermi l’accettazione dell’ordine e la disponibilità dei Servizi (“Accettazione dell’ordine”); in caso contrario, il Contratto si intenderà eseguito all’esecuzione dei Servizi ordinati.

3.11 Il venditore ha la facoltà di non accettare l’ordine del cliente e di accettare un ordine solo parzialmente. L’ordine di accettazione specifica i servizi per i quali l’ordine è stato accettato. L’ordine del Cliente sarà considerato come non accettato se nessuna accettazione dell’ordine incorrerà entro 14 giorni dal ricevimento dell’ordine del cliente.

  1. DISPONIBILITÀ E CANCELLAZIONE

4.1 Non appena l’ordine del Cliente viene elaborato, il Venditore informa il Cliente se uno dei Servizi ordinati risulta non disponibile. In tal caso, l’ordine non sarà accettato in relazione a quei Servizi che non sono disponibili.

4.2 Il Venditore ha il diritto di cancellare i Servizi con un preavviso di 15 giorni prima della Data prevista.

4.3 Nel caso in cui, nonostante il Cliente abbia ricevuto l’Accettazione dell’ordine, uno o più Servizi inclusi in un ordine accettato risultassero non disponibili o cancellati dal Venditore, il Venditore informerà il Cliente di conseguenza e proporrà, in alternativa, di modificare o annullare l’ordine accettato. In caso di cancellazione, il Venditore dovrà, a scelta del cliente, conferire al Cliente un credito corrispondente alla somma pagata al Venditore, che può essere utilizzato per l’acquisto di un Servizio diverso, o rimborsare il Cliente per il prezzo del Servizio acquistato che è stato cancellato.

4.4 In nessun caso saranno rimborsati dal venditore i costi sostenuti dal Cliente per l’acquisto di biglietti aerei o altri mezzi di trasporto o per la prenotazione di hotel e altre strutture ricettive e / o strutture ricettive, nonché eventuali altre spese aggiuntive sostenute dal Cliente.

4.5 Il Venditore, nonostante quanto previsto all’art.6, concede al Cliente la facoltà di cancellare la propria prenotazione alle seguenti condizioni:

(i) in ogni caso di cancellazione da parte del Cliente, il Venditore tratterrà una somma di Euro 30€, pari ai costi amministrativi e di gestione della pratica del Cliente (di seguito: la Quota non rimborsabile);
(ii) qualora il Cliente cancelli la propria prenotazione entro 15 giorni dalla data prevista per il Servizio/programma acquistato, il Cliente avrà diritto a ricevere il rimborso completo di quanto versato, fatta eccezione per la Quota non rimborsabile;
(iii) qualora il Cliente cancelli la propria prenotazione tra 14 e 6 giorni dalla data prevista per il Servizio/programma acquistato, il Cliente avrà diritto a ricevere il rimborso pari al 70% di quanto versato, al netto della Quota non rimborsabile;
(iv) qualora il Cliente cancelli la propria prenotazione entro 5 giorni dalla data prevista per il Servizio/programma acquistato o successivamente alla data di inizio del programma, il Cliente non avrà diritto a ricevere alcun rimborso.

     5. PAGAMENTO

5.1 Il pagamento del prezzo di acquisto deve essere eseguito con carta di credito o tramite bonifico bancario. Il venditore accetta solo le carte di credito elencate sul sito.

5.2 Le fatture, ove applicabili, saranno inviate solo elettronicamente (in formato pdf) secondo i dettagli forniti dal Cliente.

5.3 Nel caso in cui il Cliente desideri ricevere la fattura, il Cliente dovrà selezionare l’opzione rilevante prima di effettuare l’Ordine.

  1. ESCLUSIONE DEL DIRITTO DI RECESSO

6.1 Si ricorda che, in base alla legge sulla tutela dei consumatori, in caso di contratti a distanza, il diritto di recesso dei consumatori non si applica ai contratti aventi come oggetto la fornitura di alloggi per fini non residenziali, il trasporto di beni, i servizi di noleggio di autovetture, i servizi di catering o i servizi riguardanti le attività del tempo libero qualora il contratto preveda una data o un periodo di esecuzione specifici.

6.2 Di conseguenza, il diritto di recesso non si applica ai Servizi commercializzati sul Negozio Online, poiché consistono in corsi, webinar, visite e scuole che vengono forniti in una certa data.

  1. RESPONSABILITÀ – FORZA MAGGIORE

7.1 Il Cliente, nel dare il proprio consenso alla conclusione del contratto, dichiara di aver ben compreso il contenuto delle visite, dei corsi, dei webinar, delle visite e delle scuole. Il Venditore declina ogni responsabilità nel caso in cui il contenuto dei corsi, webinar, scuole o visite non soddisfi le aspettative del Cliente.

7.2 Il Venditore e / o i suoi dipendenti e collaboratori esterni non esercitano una professione sanitaria, pertanto nessun Servizio costituisce in alcun modo una diagnosi o una terapia, convenzionale o non convenzionale.

7.3 Le attività proposte dal Venditore sono rivolte a soggetti che godono di buona salute e il Venditore non assume nessuna responsabilità nel caso in cui un soggetto sia affetto da patologie che possano interferire con il corretto svolgimento dell’attività scelta.

7.4 Il Venditore non sarà responsabile per il mancato verificarsi dei Servizi o per la loro cancellazione a causa di un evento imprevedibile indipendentemente dalla sua volontà, come calamità naturali, disordini, scioperi nazionali, incendi, ecc. In questo caso, il Venditore proverà ad adottare misure che consentano di evitare, o almeno limitare, le conseguenze di forza maggiore.

7.5 I casi di forza maggiore includono, a titolo esemplificativo e non esaustivo, anche i regolamenti o ingiunzioni di Enti e/o Autorità competenti, ivi comprese, se del caso, le misure di contenimento adottate ed adottande dalle Autorità competenti allo scopo di far fronte all’emergenza sanitaria COVID-19, e altri eventi comunque indipendenti dalla volontà delle Parti.

  1. GIURISDIZIONE

Le presenti Condizioni di vendita sono regolate e interpretate in conformità con le leggi italiane. Resta inteso e accettato che tutte le rivendicazioni legate in qualsiasi modo all’oggetto delle presenti Condizioni di vendita devono essere sottoposte alla giurisdizione non esclusiva delle Corti di Ivrea (TO), il che significa che il Cliente può presentare un reclamo per far valere il proprio / i suoi diritti di tutela dei consumatori in relazione a queste Condizioni d’uso a Ivrea o nel luogo in cui il Cliente è domiciliato.

Inoltre, vale la pena di informare che la Commissione europea fornisce una piattaforma di risoluzione extragiudiziale delle controversie che è accessibile sul sito http://ec.europa.eu/odr.
